Review and approve deliverables within agreed timelines
3. Payments
All fees are due as outlined in your proposal or service agreement
Late payments may incur a fee or result in delayed delivery
Deposits are non-refundable unless otherwise stated
4. Intellectual Property
Unless otherwise agreed:
MIGSE retains ownership of all design files, frameworks, and proprietary methodologies
Clients are granted a license to use final, approved deliverables for agreed purposes
Drafts, concepts, and working files remain the property of MIGSE
5. Revisions and Scope Changes
Reasonable revisions are included as outlined in the project agreement. Scope changes, new requests, or significant rework may be subject to additional fees and revised timelines.
6. Confidentiality
MIGSE agrees to keep all client-provided information confidential and will not share it without written consent, unless required by law. Clients agree to the same regarding MIGSE’s proprietary processes and pricing.
7. Disclaimers
MIGSE does not guarantee specific results (e.g., increased traffic or revenue) unless explicitly stated in writing. All services are provided “as is.” We are not liable for third-party services, plugins, or platforms used in your project.
8. Limitation of Liability
To the fullest extent permitted by law, MIGSE shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our services or website.
9. Termination
Either party may terminate the agreement with written notice if the other breaches a material term. In the event of termination, the client agrees to pay for all work completed up to the date of termination.
10. Governing Law
These Terms are governed by the laws of the State of [Insert State], without regard to its conflict of law provisions.
